Carestream International acquired by global leading technology company, Midea.
Rochester, N.Y., December 31, 2025 – Carestream Health, Inc. (“Carestream Health” or the “Company”) has completed the separation of the Company into two geographically focused organizations, enhancing the long-term growth potential of each company. As part of the separation, Carestream Health retained all of the Company’s U.S. operations and most of the Company’s international operations have been organized under Carestream Healthcare International Company Limited （previously known as Rayco (Shanghai) Medical Products Company Limited）(锐珂（上海）医疗器材有限公司）) (“Carestream International”). In addition, Carestream International was acquired by affiliates of Midea Group Co., Ltd. (“Midea”) (SZ000333 and HK0300) as part of the transaction.
Through the transaction, Carestream Health is expected to benefit from an improved balance sheet and greater strategic emphasis on the U.S. market, strengthening its ability to continue delivering industry-leading solutions and technologies to medical providers and customers.

Under the terms of the transaction, Carestream Health sold to Midea certain assets of its wholly owned business entities that operate in various markets outside the U.S.
Carestream Health Inc. will retain the Company’s entire commercial and manufacturing operations in the U.S., its film manufacturing operations in Mexico, and its film operations and commercial sales—including non-destructive testing operations – in China.
Lazard is acting as financial advisor, and Kirkland & Ellis LLP is acting as legal advisor to Carestream Health.
